These Terms & Conditions of Sale govern all purchases, orders, quotes, invoices, and sales of goods from KNB Mills and supersede any conflicting website terms, policies, or communications.

Acceptance of Terms
Buyer’s placement of an order constitutes full and unconditional acceptance of these Terms and Conditions.

Sales Policy
Effective 03/11/2024, all sales are final. All products are non-returnable and non-refundable. No order cancellations are permitted after an order is released to production. Delivery dates are estimates only and are not guaranteed. Payment in full is due prior to shipment or production.

Payment Methods
KNB Mills accepts payment exclusively by check or wire transfer. Wire transfers are permitted only for large-value transactions, as determined by KNB Mills. Orders will be released for shipment or production only after full payment is received.

To expedite processing, Buyer may scan and email a check to KNB Mills. By providing a scanned copy of a check, Buyer authorizes and consents to KNB Mills depositing the check via mobile deposit. The original physical check must still be mailed to KNB Mills to ensure proper processing in the event of any mobile deposit error. If payment is sent only by mail, Buyer acknowledges that order processing may be delayed up to three (3) weeks. KNB Mills is not responsible for delayed or lost mailed checks.

Fees and Collection Costs
If payment is not honored, is reversed, delayed, or otherwise disputed, KNB Mills reserves the right to assess a collection fee of up to fifteen percent (15%), which Buyer agrees to pay. In the event KNB Mills engages legal counsel or takes action to collect payment, Buyer shall be responsible for all costs incurred, including reasonable attorney’s fees, court costs, and related expenses.

Freight and Risk of Loss
All shipping and freight charges are the responsibility of the Buyer. KNB Mills is not responsible for freight delays, loss, or carrier damage. Title and risk of loss pass to the Buyer at the point of shipment. If KNB Mills arranges freight, it does so as a courtesy only, and all carrier claims must be filed by the Buyer. Freight charges shall be prepaid and added to the invoice or billed collect unless otherwise expressly agreed to in writing by KNB Mills.

Force Majeure
KNB Mills shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, labor disputes, material shortages, carrier delays, governmental actions, or other causes beyond KNB Mills’ control.

Non-Waiver
No waiver by KNB Mills of any breach or default shall be deemed a waiver of any subsequent breach or default. Any waiver must be in writing and signed by an authorized representative of KNB Mills.

Patents, Copyrights, and Indemnification
Buyer assumes full responsibility for ensuring that any designs, specifications, artwork, logos, or materials provided or approved by Buyer are free of infringement. Buyer agrees to indemnify, defend, and hold harmless KNB Mills from and against any and all claims, losses, damages, liabilities, or expenses, including reasonable attorney’s fees, arising from any alleged infringement of intellectual property rights.

Inspection and Acceptance
Buyer shall inspect all goods immediately upon receipt. Buyer shall be deemed to have accepted the goods upon the earliest of:
(1) delivery of the goods;
(2) Buyer’s failure to provide written notice of breach within three (3) business days of delivery; or
(3) installation, use, resale, or alteration of the goods.
Acceptance is final and irrevocable.

Notice of Breach
Any claim for breach, including but not limited to claims for defects, nonconformity, or shortage, must be submitted in writing to KNB Mills within three (3) business days of delivery. Failure to provide timely written notice constitutes acceptance of the goods and a waiver of all claims. KNB Mills does not accept returns, cancellations, or refunds.

Exclusive Remedy
All sales are final. KNB Mills does not provide refunds, returns, credits, exchanges, repairs, or replacements for any reason. Buyer assumes all responsibility for the goods upon shipment and acceptance. Any accommodation offered by KNB Mills shall be solely discretionary, shall not constitute a remedy, and shall not create any obligation or precedent for future orders.

Limitation of Liability
Under no circumstances shall KNB Mills be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, or project delays. KNB Mills’ aggregate liability for any claim arising out of or relating to this agreement shall not exceed the amount paid by Buyer for the specific goods giving rise to the claim.

No Set-Off
Buyer waives any right of set-off, recoupment, or counterclaim. All invoices must be paid in full when due, without deduction or withholding, regardless of any dispute or claim.

Assignment
Buyer may not assign this agreement, whether by operation of law, merger, sale of assets, or otherwise, without the prior written consent of KNB Mills. Any attempted assignment without such consent shall be void. KNB Mills may assign this agreement without Buyer’s consent.

Governing Law and Venue
This agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles. Any legal action arising out of or relating to this agreement shall be brought exclusively in the state or federal courts located within the State of Wisconsin, and the parties consent to such jurisdiction and venue.

Modification of Terms
KNB Mills reserves the right to modify or update these Terms and Conditions at any time, with or without notice. The Terms and Conditions in effect at the time an order is placed shall govern that order and shall be binding upon Buyer.

Severability
If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By placing an order, Buyer agrees to and accepts these Terms & Conditions in their entirety.

These Website Terms & Conditions of Use govern access to and use of the KNB Mills website only. They do not apply to product sales, orders, pricing, payment terms, shipping, returns, or remedies. All sales are governed exclusively by KNB Mills’ Terms of Sale.

This website is operated by KNB Mills (“KNB Mills,” “we,” “us,” or “our”) and is provided solely for informational, educational, and communication purposes. By accessing or using this website, you agree to these Website Terms of Use.

Sales Terms Control
